Terms and Conditions of Sale
Draft This page is being finalised.
These terms apply to every order you place with PRACO Packaging Supplies Ltd, whether online, by phone, by email or in person. Please read them before ordering. They are written for business (trade) customers.
1. About us
PRACO Packaging Supplies Ltd is a company registered in England and Wales under company number 15112621, with its registered office at 15 Parker Drive, Leicester, LE4 0JP. Our VAT number is GB 454687846.
You can contact us on 0116 365 3008 or at sales@praco.co.uk.
2. These terms
These terms form the contract between us and the business buying from us ("you"). They apply instead of any terms you send us, including terms printed on or referred to in a purchase order, unless a director of PRACO Packaging Supplies Ltd agrees otherwise in writing.
Our website, catalogue and price lists are for trade customers buying in the course of business. If you buy as a consumer, these terms apply only so far as the law allows, and your statutory rights are not affected. See our Returns and Refunds policy for consumer cancellation rights.
We may update these terms from time to time. The version on our website when you place your order applies to that order.
3. Orders and acceptance
Your order is an offer to buy. A contract is formed only when we accept it, either by sending an order acceptance or by dispatching the goods, whichever happens first. Receiving an automatic order acknowledgement does not mean we have accepted your order.
We may decline an order, for example where goods are unavailable, there is an obvious error in price or description, or credit checks are not satisfactory. If we decline an order you have already paid for, we refund you in full.
Once accepted, an order can be changed or cancelled only with our agreement. Goods made, printed or cut to your specification cannot be cancelled once production has started.
4. Product information
We describe our products as accurately as we can. Product images may be representative and may differ slightly from the goods supplied (for example in colour, print or packaging).
Dimensions, thicknesses (micron or gauge), weights and quantities are nominal and subject to normal manufacturing tolerances of [±X%]. You are responsible for checking that goods are suitable for your intended use. Samples are available on request.
5. Prices
Prices are in pounds sterling and exclude VAT, which is added at the rate in force on the date of invoice. Prices are per box (or other selling unit shown) unless stated otherwise.
Delivery is not included in our prices. See section 7.
Volume, pallet and mixed-pallet prices apply only when the conditions shown at the time of order are met. Account-specific prices apply only to the account they were agreed for.
We may change prices at any time before we accept your order. If a price shown is obviously wrong, we will tell you and you may confirm the order at the correct price or cancel it.
6. Payment
We accept the following payment methods, subject to availability at checkout:
- Card payment: payment is taken when you place your order.
- Pro forma: we send a pro forma invoice and dispatch once payment has cleared in our account. Orders not paid within [X] days may be cancelled.
- Credit account: available only to approved customers, subject to our credit checks and a credit limit. Invoices are payable within [30] days of the invoice date, or any other terms we confirm to you in writing when we approve the account.
We may review, reduce or withdraw credit, or place an account on hold, at any time, including where invoices are overdue or a credit limit would be exceeded.
If you pay late, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, and we may suspend deliveries until all overdue amounts are paid.
You must pay in full without any deduction, set-off or counterclaim, unless we agree otherwise in writing.
7. Delivery and collection
Delivery charges are based on the weight of your order (and, for pallet deliveries, the pallets required). The delivery charge is quoted at checkout or confirmed by us before dispatch, and is added to your invoice.
Any dispatch or delivery dates we give are estimates only. Time of delivery is not of the essence, and we are not liable for delays outside our reasonable control.
We deliver to the address you give us. You must make sure someone is available to receive the goods and that the delivery point is safely accessible for our vehicle, carrier or pallet network. If delivery fails because of you, we may charge for redelivery and storage.
We may deliver an order in instalments and invoice each one separately. A problem with one instalment does not entitle you to cancel the others.
If you collect from 15 Parker Drive, Leicester, LE4 0JP, we will tell you when your order is ready. Goods not collected within [X] days may be returned to stock and the order cancelled.
8. Risk and ownership
Risk in the goods passes to you when they are delivered to your address or, if you collect, when they are handed to you or your carrier.
Ownership of the goods does not pass to you until we have received payment in full for those goods and for any other goods we have supplied to you that are due for payment.
Until ownership passes, you must store the goods separately and identifiably as our property and keep them insured. You may use or resell them in the ordinary course of your business, but if you do not pay when due, or you become insolvent, we may recover the goods and you allow us to enter your premises to do so.
9. Shortages, damage and faults
Please check goods on delivery. If packaging is damaged and you cannot check the contents, sign the delivery note "unchecked" or "damaged".
You must tell us of any shortage, visible damage or wrong item within 15 days of delivery, with photos or a video of the goods and packaging, and keep the goods and packaging for inspection.
You must tell us of any other defect within 15 days of delivery, with photos or a video showing it.
If goods are faulty, damaged in transit or not as ordered, we will, at our option, replace them, make up the shortage or credit or refund the price. This does not apply to damage caused by misuse, unsuitable storage, normal wear and tear, or use outside the product's stated purpose.
Claims made after these periods may not be accepted. See our Returns and Refunds policy for how to return goods.
10. Our liability to you
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for breach of the terms implied by section 12 of the Sale of Goods Act 1979, or for anything else that cannot be limited or excluded by law.
Subject to that, we are not liable for any loss of profit, revenue, business, contracts, goodwill or anticipated savings, or for any indirect or consequential loss, however it arises.
Subject to that, our total liability arising from or in connection with an order is limited to the price paid for the goods in that order.
All terms implied by law, other than those referred to above, are excluded to the fullest extent the law allows.
11. Events outside our control
We are not liable for any failure or delay caused by events outside our reasonable control, including supplier or carrier failures, severe weather, fire, flood, industrial action, epidemic, power or IT failure, or government action. If such an event lasts more than [30] days, either of us may cancel the affected order and we will refund anything you have paid for goods not delivered.
12. Your information
We use your information as set out in our Privacy Policy. If you apply for a credit account, we may carry out credit checks.
13. General
These terms, together with our order acceptance, are the entire agreement between us for the order. Each section operates separately: if a court finds any part unenforceable, the rest stays in force.
If we do not enforce a right straight away, we can still enforce it later. You may not transfer your rights under the contract without our written consent. No one other than you and us has any right to enforce these terms.
14. Law and jurisdiction
These terms and any dispute or claim arising from or in connection with them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
